Abstract: Tanto en España como en Portugal se ha venido discutiendo, en los últimos años y como consecuencia de la crisis financiera iniciada en 2007/2008, sobre el régimen jurídico del swap, un contrato creado por la práctica y en el que era notable la ausencia de conflicto judicial hasta que los bancos decidieron comercializarlo de forma masiva, más allá de su especializado contexto inicial. El propósito de este trabajo es proporcionar un análisis comparativo de España y Portugal en sus respectivas aproximaciones a la problemática surgida en torno a esta figura contractual y los deberes de información y asesoramiento de los bancos. La crisis económica pone a prueba la eficacia de los sistemas jurídicos de ambos países, evidenciando sus defectos y también sus virtudes. Siendo los hechos sustancialmente idénticos, basados en muchos casos en una comercialización sin una previa información clara y comprensible, y abusando con frecuencia de la confianza de los clientes, es de destacar que la respuesta jurídica difiera en uno y otro país, si examinamos las decisiones de los Tribunales Supremos. En España, donde ya empieza a ser apreciable el número de decisiones del Tribunal Supremo, se ha considerado que estamos ante una cuestión de información, analizando con detalle la fase de negociación precontractual y verificando si se dan los requisitos del error capaces de anular el contrato. Se trata de determinar si existió o no una información suficiente que permitiese conocer lo que realmente se contrataba y sus consecuencias. El perfil del demandante suele ser el de un consumidor o el de una pequeña y mediana empresa (pyme) En Portugal, con una única sentencia del Supremo Tribunal de Justicia, el remedio ha sido bien distinto, aplicándose para lograr la resolución del contrato el régimen de la alteración de las circunstancias; sin embargo, fuera del ámbito de esta sentencia, no puede decirse que los litigios sobre los contratos de permutas financieras de tipo de interés hayan sido inmunes a la discusión acerca de los deberes de información de los bancos. Portugal presenta, además, la peculiaridad de los swaps contratados por empresas públicas, en unos momentos en que su deuda no era contabilizada a efectos presupuestarios y el Estado las empujaba a solicitar financiación. Asistimos, pues, a dos enfoques distintos. En la figura del error, el vicio afecta a la propia formación del contrato, traduciéndose en una representación inexacta o en el desconocimiento de elementos determinantes para la celebración del negocio y genera su invalidez. La resolución por alteración de circunstancias, en cambio, se aplica a problemas resultantes de vicisitudes posteriores a la celebración del contrato. | Both in Spain and in Portugal there is discussion, in the last years and as a consequence of the financial crisis initiated in 2007/2008, about the legal regime of swap, a contract created by the practice where was notable the absence of judicial conflict until the banks decided to commercialize it massively, beyond its specialized initial context. The purpose of this paper is to provide a comparative analysis of Spain and Portugal and their respective approaches to the problems concerning this contract and the information and advice duties of the banks. The economic crisis tests the efficiency of the legal systems in both countries, demonstrating faults and also virtues Facts are substantially identical, based in many cases in the selling of these products without a previous clear and understandable information and often abusing the customer confidence, but the response differs in one and another country, if we examine the decisions of Supreme Courts. In Spain, where it is already valuable the number of decisions of the Supreme Court, it has thought that the main question is information, analyzing closely the phase of negotiation before contracting and checking if the requirements of the mistaken consent to avoid the contract are fulfilled. It is a question of determining if there was or not enough information to know what it was really being contracted and the consequences of it. The profile of the plaintiff corresponds usually with that of a customer or small and medium company. In Portugal, with only one judgment of the Supreme Court, the remedy has been very different, being applied to achieve the resolution of the contract the regime of the change of the circumstances; nevertheless, out of this judgement it cannot be said that the litigations on the interest rate swap should have been immune to the discussion around the information duties of the banks. Portugal presents, besides, the peculiarity of the swaps contracted by state-owned companies, at a time in which their debt was not assessed to budgetary effects and the State was pushing them to request funding. Consequently, there are two different approaches. In the figure of the mistake, the vice concerns the own formation of the contract, being translated in an inaccurate representation or in the ignorance of determinant elements for the celebration of agreement, generating invalidity. The resolution by change of circumstances, on the other hand, is applied to problems created by vicissitudes that appear after the celebration of the contract.
